Contract review

Know what your client's contract asks them to insure.

Upload a lease, a services agreement or a subcontract. coverbound finds every insurance clause, holds it against the client's policies and shows you the words behind each finding. You approve it. Your client gets a letter they can follow.

A café's retail lease is read for its insurance clauses. Each requirement is held against the client's policies: public liability is below the $20 million the lease asks for, glass is not on file, the waiver of subrogation needs the wording checked and a certificate of currency is to action. The broker opens the public liability finding and sees the clause highlighted in the lease. A finding whose quote could not be verified is removed, the review is approved and a client letter is created.

What it asks for, against what they hold

Required covers, limits and terms are checked against the client's policies in force today. By rule, not by the AI.

  • Meets, Below, Not on file, Check wording or To action for each requirement
  • Shortfalls spelt out: a recorded limit of $10,000,000 against the $20,000,000 required
  • Joint names, waivers of subrogation, notice of cancellation and certificates of currency
  • It never says something isn't covered. Only what is or isn't on file with you.

Indemnity beyond legal liability

Clause 15.1 · page 11

Clause to discuss

“The Tenant indemnifies the Landlord against any loss however arising from the Tenant’s use of the premises.”

Why it matters: liability policies cover what the law would make the client pay. An indemnity wider than that may not be covered.

Points you could raise: limit it to loss caused by the tenant’s negligence.

The clauses that change the risk

Some clauses matter even when the cover is right. Each one comes with why it matters and points your client could raise.

  • Indemnities beyond legal liability, hold harmless and releases
  • Liability caps, unlimited liability and consequential loss
  • Liquidated damages, fitness for purpose and warranties
  • Proportionate liability excluded and data breach indemnities

Could not verify · 1 to check

The AI raised it, but the quote didn't hold up

To verify

Quoted by the AI, not found as written

“The Tenant must insure the fit-out for $500,000.”

RemoveConfirm

Confirm or remove it before the review can be approved.

Every finding proven against the contract

The AI may only quote. Each quote must be found word for word in the contract. A second check asks whether the passage says what the finding claims.

  • Click a finding and its passage is highlighted on the page
  • Limits, periods and currencies checked against the quoted words
  • Anything that doesn't hold up is kept as Could not verify, never shown as fact
  • The review can't be approved until you confirm or remove each one

Clauses that affect your insurance

Why it matters. Points you could raise.

A letter your client can follow

Approve the review and the client letter is made from it. Edit it like any other document.

  • Your recommendation, in your own words. The AI never recommends.
  • A table of what the contract asks for against their current cover
  • Each clause with why it matters and the points they could raise
  • A note to take legal advice, worded for Australia or the UK

Built not to overreach

  • It describes the contract. The recommendation is yours.
  • Each position is worked out by rule from the client's schedule.
  • Not on file means not on file with you. It never says not covered.
  • Every quote is found in the contract before it's shown.
  • Pages that couldn't be read are flagged, never skipped quietly.
  • Change a review after approval and it's marked Changed since approval.

Before you ask

Questions about contract review.

Is this legal advice?
No. It covers the insurance clauses only. The letter suggests the client speaks to a lawyer in Australia or a solicitor in the UK.
Does it decide whether the client is covered?
No. It compares what the contract asks for with the policies you hold on file. Anything you don't hold is marked Not on file for you to check.
What if the AI gets a clause wrong?
Every finding has to quote the contract word for word. A quote that can't be found is kept aside as Could not verify until you confirm or remove it.
How is it charged?
One credit for every 50 pages read, with a minimum of one. A 24-page lease uses one credit.
Which contracts can it read?
PDF or Word, up to 200 pages. Leases, services and supply agreements, subcontracts, hire and government contracts.
